Membership 1.1. Eligibility: Membership in the Chamber is open to businesses, organizations, and individuals who support the Chamber’s mission and objectives. Membership is non-transferable and non-refundable. 1.2. Application Process: To become a member of the Chamber, applicants must submit a completed membership application, along with any required supporting documentation, to the Chamber. The Chamber reserves the right to accept or reject any membership application. 1.3. Membership Categories: The Chamber offers several membership categories, each with its own benefits and dues structure. Members are responsible for selecting the appropriate membership category and paying the corresponding dues. The membership categories and membership dues may be subject to change by the Chamber at any time. 1.4. Membership Dues; Automatic Renewal; Membership Term: 1.4.1 Upon joining the Chamber, members shall pay annual membership dues through the Chamber’s website registration page, or by payment over the phone by calling the Chamber’s office. Annual membership dues may be paid securely online with a credit card or debit card, or over the phone by calling the Chamber’s Membership Services at (916) 389-7468. Unless a member expressly opts-out of auto-renewal by calling Membership Services or emailing the membership team at join@calasiancc.org, a member is deemed to have automatically joined the Chamber’s automatic membership renewal program and given the Chamber permission to automatically charge the annual membership dues to the member’s credit card or debit card that the member has placed on file with the Chamber (either online or by phone) as the dues become due without the member needing to take further action. 1.4.2 The member’s designated account will be charged immediately for the full amount of the member’s annual membership dues. The member’s dues will cover a year of membership from the time the member has enrolled into membership. Automatic renewals will be processed on or near the date of the member’s annual membership term. Upon the pending renewal each year, the member will receive an annual reminder notice on or about sixty (60) days before the renewal date. If the member does not wish to proceed with the renewal of membership for the upcoming membership year, the member must opt-out of membership at least thirty (30) days before the member’s annual membership term renews (the “Opt-Out Deadline”) by calling the Membership Services at (916) 389-7468 or by sending an email to join@calasiancc.org . If the member does not opt-out of automatic renewal before the Opt-Out Deadline, the member’s membership will automatically renew, and the designated card on file will automatically be charged. No refund will be allowed if the member does not cancel member's membership by the Opt-Out-Deadline. 1.4.3 The Chamber reserves the right to change membership dues rates at any time. Automatic membership renewals will be charged at the then-current membership dues rate. Any changes to membership dues will be communicated by the Chamber to the member prior to the automatic payment date. It is the responsibility of the member to update the member’s membership record as it pertains to member's business, contact, billing, etc. by contacting Membership Services. 1.4.5 The member understands that this authorization to charge member's account will remain in effect until the member cancels the authorization by opting out via the contact methods listed above before the Opt-Out Deadline. 1.4.6 By providing the Chamber the member’s credit card or debit card information, the member represents and warrants that all billing information provided to the Chamber is truthful and accurate and that the member is authorized to use the card in the manner contemplated here. If the member is an institution or organization, the member may pay with a credit or debit card that belongs to the institution or organization. If a member is paying using a credit or debit card that belongs to the member’s institution or organization, the member must be an authorized user of said credit or debit card. In the event that such member is no longer authorized to use the said credit or debit card, such member is responsible for updating and replacing the credit or debit card information on file by contacting Membership Services. 1.4.7 Should the credit or debit card on file be declined or other issues arise with the member’s recurring membership, the Chamber will notify the member by email and/or phone. The Chamber reserves the right to charge the Member $15 for any declined card. The member shall be obligated to pay the membership dues by other means within two (2) business days of the Chamber’s notice of nonpayment. If attempt(s) to collect payment fail and are not rectified within two attempts, the membership and associated benefits will automatically terminate. I understand and authorize the Chamber to charge my credit card/debit card for the payment of annual membership dues each year on an automatic basis. I agree in the event that the charges are denied by the credit card/debit card institution for any reason, I will be notified and obligated to pay by other means within two business days of notice of nonpayment. By enrolling in the Chamber’s automatic renewal program, I authorize the Chamber to renew my membership automatically by charging my credit or debit card on, or near the membership anniversary date. I understand that I will receive notification approximately 60 days in advance of the upcoming renewal. Code of Conduct 2.1 Compliance: All members of the Chamber recognize that membership is a privilege and that a membership brings with it the responsibility to assure that all members understand and commit to the following code of conduct: 2.1.1 Members must abide by the bylaws of the Chamber and any and all rules of operation for any applicable programs of the Chamber. The Chamber shall make available a copy of the bylaws to a member upon request. 2.1.2 Members must refrain from publicly disparaging the business practices of fellow members and refrain from condoning or engaging in misrepresentation or unethical practices. 2.1.3 Members must conduct business and professional activities in a reputable manner so as to reflect honorably upon the business community and fellow Chamber members. Members must act with honesty and integrity in all their dealings with other members and the Chamber. Members must conduct themselves in a professional manner and adhere to high ethical standards in their business or organizational activities. 2.1.4. Members must respect the reputation, profile and status of the Chamber, and represent the Chamber accordingly. 2.1.5 Members must understand, support and promote the mission of the Chamber and must cooperate with fellow members in the application of the Chamber’s code of conduct. 2.1.6 Members must observe the highest standards of ethics in rendering services and/or offering products for sale, based on the member’s own knowledge and expertise. 2.17 Members must refrain from engaging in any practices prohibited by law or seeking unfair advantage over fellow members. Members must conform to all laws established by municipal, local, State and Federal governments for the control of said business, where applicable. 2.1.8 Members must respect the role of the Chamber professional staff. 2.1.9 The Chamber reserves the right to enforce the code of conduct and take appropriate action against any member who violates the code of conduct. Such action may include termination of membership, suspension of membership benefits, or any other action deemed appropriate by the Chamber. 2.2. Changes: The code of conduct may be changed by the Chamber at any time. It is the responsibility of each member to ensure compliance with the latest version of the code of conduct at all times. Article 3. Benefits and Services 3.1. Overview: The Chamber provides a range of benefits and services to its members, including but not limited to: 3.1.1. Networking Opportunities: The Chamber provides opportunities for members to connect with other members and develop business relationships. 3.1.2. Educational Programs: The Chamber offers educational programs and resources to help members improve their business or organizational skills and knowledge. 3.1.3. Advertising and Promotional Opportunities: The Chamber provides members with opportunities to advertise and promote their businesses or organizations to other members and the community. 3.1.4. Access to Chamber Resources and Expertise: The Chamber provides members with access to Chamber resources, such as business directories, research reports, and expert advice. 3.2. Modifications: The Chamber reserves the right to modify, add, or withdraw any benefit or service at any time, without notice to members. 3.3. Use of Chamber Resources: The Chamber grants to the members certain rights to use certain Chamber’s resources, which are made available to the members as part of the Chamber’s benefits and services. The use of the members of the Chamber’s resources shall be in accordance with these Terms and Conditions as well as any specific terms and conditions that may be posted in connection with particular Chamber resources. Nothing in these Terms and Conditions should be construed as conferring upon any member any copyright or other intellectual property license or right (whether by implication, estoppel or otherwise) over any Chamber resources and/or materials. All members agree that the Chamber resources and materials, including the Chamber’s website(s), are protected by applicable copyrights, trademarks, service marks, patents or other proprietary rights and laws, all of which belong to the Chamber or its licensors (if applicable). All members acknowledge and agree that the Chamber and its licensors (if applicable) own all right, title, and interest to all platforms, materials, services and/or resources made available by the Chamber to its members. All members shall be subject to these Terms and Conditions and to any license agreements to third-party software and/or intellectual property that the Chamber has entered into with respect to the platforms, materials, services and/or resources made available by the Chamber to its members, including the following: Metrix 2024-05-10 End User License Agreement (NYW Platform) . If the member is an organization, and the Chamber has granted organization level rights to use Chamber resources, such rights shall extend to the member’s employees and authorized agents who are designated as end users, provided that such member maintains full responsibility and liability for the acts and omissions of such employees and agents, including, without limitation, their breach of any obligations, representations, warranties and/or covenants set forth herein. 3.4. A member shall not upload to the site or in relation to any submitted data provided to the Chamber any information or data which: (i) violates or infringes the rights of any persons, including without limitation rights in copyrights, patents, trademarks or other intellectual property rights; (ii) is libelous, defamatory, obscene, pornographic, abusive or otherwise violates any law; or (iii) contains viruses, "worms", "trojan horses" or any other harmful properties. Article 5. Termination of Membership 5.1. Termination for Cause: The Chamber may terminate a membership for cause, including but not limited to: 5.1.1. Violation of the Code of Conduct: Any member who violates the Chamber’s code of conduct may have their membership terminated. 5.1.2. Non-Payment of Fees or Dues: Members who fail to pay their dues or fees in a timely manner may have their membership terminated. 5.1.3. Other Conduct: The Chamber may terminate a membership for any other conduct deemed detrimental to the Chamber or its members. 5.2. Notice of Termination: If the Chamber decides to terminate a membership, it will provide the member with written notice of the termination and the reason for the termination. 5.3. Effect of Termination: Termination of membership will result in the loss of all membership benefits and services, including access to Chamber events, resources, and expertise. Article 6. Intellectual Property 6.1. Ownership: The Chamber retains all rights to its name, logo, and other intellectual property. Members may not use the Chamber’s name or logo in any way without the Chamber’s prior written consent. 6.2. Use of Member Name: The Chamber may use a member’s name and logo in any and all Chamber marketing and promotional materials and efforts, including, but not limited to, those related to the promotion of the Chamber and Chamber's benefits and services. Article 7. Limitation of Liability 7.1. Exclusion of Liability: The Chamber shall not be liable to any member or third party for any damages, including but not limited to direct, indirect, incidental, special, or consequential damages, arising from the member’s use of the Chamber’s benefits and services. 7.2. Indemnification: Members agree to indemnify and hold harmless the Chamber, its officers, directors, employees, agents, and affiliates from any claim, demand, or damage arising from the member’s use of the Chamber’s benefits and services. Article 8. Governing Law 8.1. Applicable Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California without giving effect to any principles of conflicts of law. 8.2. Jurisdiction: Members agree that any action arising from or related to these Terms and Conditions or the member’s use of the Chamber’s benefits and services shall be brought in the state or federal courts located in Sacramento County, California. Article 9. Modification of Terms and Conditions 9.1. Modifications: The Chamber reserves the right to modify these Terms and Conditions at any time, without notice to members. Article 10. Entire Agreement 10.1. Entire Agreement: These Terms and Conditions constitute the entire agreement between each member and the Chamber and supersede all prior or contemporaneous agreements or understandings, whether written or oral, relating to the subject matter of these Terms and Conditions. 10.2. No Waiver: The failure of the Chamber to enforce any provision of these Terms and Conditions shall not be construed as a waiver of any such provision or the right to enforce such provision.
